Terms of Service

All services provided by VMium (“VMium”) may be used for lawful purposes only. Transmission, storage or presentation of any information, data or material in violation of any United States federal, state or city law is prohibited. This includes, but is not limited to: copyrighted material, material we judge to be threatening or obscene, or material protected by trade secret and other statute. The subscriber agrees to indemnify and hold harmless VMium from any claims resulting from the use of service which damages the subscriber or any other party.

Prohibited sites that promote any illegal activity or content that may be damaging to VMium’s servers, or any other server on the Internet, are prohibited. Links to such materials are also prohibited.

Governing Law

This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Massachusetts, United States of America, without regard to its conflict of laws rules.

Prohibited Content — Immediate Termination

The following content or activities result in instant termination without notice, no money back, and no data recovery:

  • Pirated software, warez sites, links and files, any DMCA violations
  • Hacker programs or archives, malware and any kind of viruses
  • Child or animal pornography
  • Botnetting
  • Mass mailing and any mass mailing services or setups
  • Any running IRCd (BNC and eggdrops are allowed; IRCds are prohibited)
  • Phishing and scam operations
  • Any form of cryptocurrency mining
  • Anything illegal under USA laws and jurisdictions where services are provided (it is the client’s responsibility to know local laws)
  • TOR nodes
  • Running VPN or Proxy services for resale to end clients without prior authorization (personal use is permitted). We reserve the right to discontinue services when such cases are discovered.
  • Any nginx proxy_pass and port forwarding settings on an IP address different from the server’s own IP
  • Security testing within our system that can affect the service of other clients

Additional unacceptable use resulting in suspended service and later termination if abuse continues:

  • Any resource abuse that can affect other clients: CPU, IO, or Network
NOTICE: IF YOUR ACCOUNT IS FOUND TO CONTAIN ILLEGAL ACTIVITY, PIRATED SOFTWARE, HACKER PROGRAMS, WAREZ PROGRAMS, OR ANY OTHER ILLEGAL FILES, YOUR ACCOUNT WILL BE TERMINATED IMMEDIATELY WITHOUT NOTICE.

Bandwidth & Billing

By default, client servers are not suspended as long as there are funds on the account. Bandwidth is charged on a “per TB” basis after the allocated monthly limit is reached. The “per TB” price is determined and listed in the Provider’s billing system under VPS → Configuration.

Server Abuse

Any attempt to undermine or cause harm to a server or customer of VMium is strictly prohibited. As our customer, you are responsible for all your accounts. Should you violate the Terms of Service outlined within, your account will be cancelled without chance of refund.

Refusal of Service

We reserve the right to refuse, cancel, or suspend service at our sole discretion. All sub-networks, distributive hosting sites, and dedicated servers of VMium must adhere to the above policies, with the exception of system resources in respect to dedicated servers.

Service Fees

Certain services carry a setup fee charged by VMium to the client, which must be paid in order to use said services. If the client terminates this agreement, the client shall be responsible for any and all outstanding fees owed to VMium and agrees to pay any and all fees incurred. Because services are provided on a monthly basis, the client will be responsible for service fees incurred each month, regardless of when the client provides notice of termination. For example, if the client provides notice of termination on the 15th day of a month and the service end date is the 25th, the client will be responsible for service fees for the entire period through the 25th; such fees will not be pro-rated or refunded.

Money-Back Guarantee & Refund Policy

We do not refund cancelled contracts. For example, if your contract is quarterly or biannual and you request a refund after two months, no refund will be issued. The same applies to monthly contracts: if you request a refund at any point within a billing period, no refund will be issued. No refunds are issued for setup charges, add-on charges, domain registrations, add-on purchases, SSL certificates, control panel fees, or overage charges. In case of AUP violations, no refund will be given. All payments to VMium are final, and any refunds of unused amounts are subject to a $10 + 20% processing fee.

Cancellations

We do not refund partial monthly fees. We do not require advance notice for cancellation — you can simply stop paying and choose not to renew. All services will be deleted on the 7th day after suspension due to non-payment. No data will be available after service termination.

Backups

Backup of any data is the sole responsibility of the client. VMium is not responsible for any data loss for any reason. VMium does take one backup of each VPS and keeps it on our backup servers, however our backup system is NOT a guaranteed service. You may request a VPS restore from our backup copy via a support ticket — all restore requests are free for the lifetime of the service (while the VPS is running and paid for). Backups are deleted upon service termination.

Limitation of Liability

VMium shall not be responsible for any claimed damages, including incidental and consequential damages, which may arise from VMium’s servers going off-line or being unavailable for any reason whatsoever. Furthermore, VMium shall not be responsible for any claimed damages resulting from the corruption or deletion of any website or data from one of VMium’s servers. All damages shall be limited to the immediate termination of service.

Violations

Violations of these Acceptable Use Policies should be referred to [email protected]. All complaints will be investigated promptly. Failure to follow any term or condition will be grounds for immediate account deactivation.

Disclaimer

VMium cannot be held liable for system downtime, crashes, or data loss. We cannot be held liable for any estimated loss of profits a client would have gained if their service was functioning. Certain services provided by VMium are resold; thus, certain equipment, routing, software, and programming used by VMium are not directly owned or written by VMium. VMium holds no responsibility for the use of our clients’ accounts. Failure to comply with any terms or conditions will result in the automatic deactivation of the account in question. We reserve the right to remove any account without advance notice for any reason, as VMium sees fit.

Account Activation

By activating your account with VMium, you agree to the above policies and disclaimer. Upon requesting account activation, you are required to accept these policies, guidelines, and disclaimer, and a copy of your acceptance is forwarded along with your activation request to be maintained with your account information.

NOTICE: If you sign up for an account and fail to comply with these terms, no refunds will be given.

Server Uptime

Although VMium has an excellent record for reliability, we do not offer an uptime guarantee. However, our network and servers are monitored continuously and are rarely down except for scheduled maintenance and hardware or software upgrades.

Information Automatically Logged

We use your IP address to help diagnose problems with our server and to administer our website. We use this information for no other reason.

Order Forms

Our site uses an order form for customers to request services (256-bit encryption). We collect sensitive information which is used only for our purposes. Contact information from order forms is used to get in touch with the customer when necessary. Billing information collected is used to bill the user for services. Unique identifiers are collected from website visitors to verify user identity. Demographic and profile data is also collected to tailor our visitors’ experience by showing content we think they might be interested in.

Security

This site has security measures in place to protect against the loss, misuse, and alteration of information under our control. We use strong SSL encryption to ensure your privacy.

Third Parties

Information collected on this site is strictly for our use. No outside persons may view your personal or billing information.

Acceptable Use Policy

As a provider of web hosting and other Internet-related services, VMium offers its customers (also known as “Subscribers”) and their customers and users the means to acquire and disseminate a wealth of public, private, commercial, and non-commercial information. VMium respects that the Internet provides a forum for free and open discussion and dissemination of information. However, when there are competing interests at issue, VMium reserves the right to take certain preventive or corrective actions. To protect these interests, VMium has developed this Acceptable Use Policy (“AUP”), which supplements and explains certain terms of each customer’s respective service agreement and is intended as a guide to the customer’s rights and obligations when using VMium’s services. This AUP will be revised from time to time.

VMium cannot monitor, verify, warrant, or vouch for the accuracy and quality of information subscribers acquire through the Internet. Subscribers must exercise their best judgment in relying on information obtained from the Internet and should be aware that some material may be sexually explicit or otherwise offensive. Because VMium cannot monitor or censor the Internet, VMium cannot accept responsibility for injury to its subscribers resulting from inaccurate, unsuitable, offensive, or illegal Internet communications.

The following activities are prohibited for subscribers, their customers, affiliates, and subsidiaries:

  1. Spamming Sending unsolicited bulk and/or commercial information over the Internet. This is harmful due to its negative impact on consumer attitudes toward VMium and because it can overload VMium’s network and disrupt service. Maintaining an open SMTP relay is prohibited. When a complaint is received, VMium will investigate and shut down the offending account. If you wish to send bulk solicited emails, you must use DKIM or similar software and obtain pre-approval via a sales department ticket.

    SMTP port 25 (IPv4 and IPv6) is blocked on VMium’s network. Mail submission ports 465 and 587 are open.
  2. Audio/Video Streaming Audio/video streaming and audio/video chats require dedicated network channels for proper operation. Our Fair Use bandwidth policy protects other clients from network abuse. VMium does not allow any streaming of audio or video content. Offending accounts will be suspended without notice or terminated.
  3. Adult-Oriented Content VMium allows only legal adult content and will suspend or terminate any offending service account. Legal adult content means: you are the owner of the content, no child pornography, no animal pornography.
  4. Obscene Speech or Materials Using VMium’s network to advertise, transmit, store, post, display, or otherwise make available child pornography or obscene speech or material is prohibited. VMium is required by law to notify law enforcement agencies when it becomes aware of child pornography on or being transmitted through its network.
  5. Defamatory or Abusive Language Using VMium’s network as a means to transmit or post negative, defamatory, harassing, abusive, or threatening language.
  6. Forging of Headers Forging or misrepresenting message headers, whether in whole or in part, to mask the originator of the message.
  7. Illegal or Unauthorized Access to Other Computers or Networks Accessing, illegally or without authorization, computers, accounts, or networks belonging to another party, or attempting to penetrate security measures of another individual’s system (i.e., “hacking”). Also prohibited is any activity that may be used as a precursor to an attempted system penetration (e.g., port scanning, stealth scanning, or other information-gathering activity).
  8. Distribution of Internet Viruses, Worms, Trojan Horses, or Other Destructive Activities Distributing information regarding the creation of and sending Internet viruses, worms, Trojan horses, pinging, flooding, mail bombing, or denial of service attacks. Also prohibited are activities that disrupt the use of or interfere with the ability of others to effectively use the network or any connected network, system, service, or equipment.
  9. Facilitating a Violation of this AUP Advertising, transmitting, or otherwise making available any software, program, product, or service that is designed to violate this AUP, including facilitation of spam, pinging, flooding, mail bombing, denial of service attacks, and software piracy.
  10. IRC VMium prohibits hosting of any IRCd software or linking to IRC chat networks (BNC and eggdrops are allowed; IRCds are prohibited). VMium reserves the right to deny any IRC-related activity on its servers and terminate clients’ service with notice and money back.
  11. Other Illegal Activities Engaging in activities that are determined to be illegal, including but not limited to advertising, transmitting, or otherwise making available Ponzi schemes, pyramid schemes, gambling, fraudulently charging credit cards, and pirating software.
  12. Other Harmful Activities Engaging in activities, whether lawful or unlawful, that VMium determines to be harmful to its subscribers, operations, reputation, goodwill, or customer relations. Any activities illegal under the laws of the USA or Netherlands are prohibited.
  13. VPN and Proxy Resale It is strictly prohibited to resell VPN or Proxy access to end clients without prior notification and authorization. You may only run Proxy or VPN services for personal use. We reserve the right to discontinue services when such cases are discovered.

The responsibility for avoiding the harmful activities described above rests primarily with the subscriber. VMium will not, as an ordinary practice, monitor the communications of its subscribers to ensure that they comply with VMium’s policy or applicable law. However, when VMium becomes aware of harmful activities, it may take any action to stop the harmful activity, including but not limited to removal of information, shutting down a website, implementing screening software, denying Internet access, or any other action deemed appropriate.

VMium may disclose information, including information concerning a subscriber, a transmission made using our network, or a website, in order to comply with a court order, subpoena, summons, discovery request, warrant, statute, regulation, or governmental request. VMium assumes no obligation to inform the subscriber that subscriber information has been provided and, in some cases, may be prohibited by law from giving such notice. VMium will never sell subscriber information to other services or outside companies.

VMium wishes to emphasize that, in signing the Service Agreement, subscribers indemnify VMium for any violation of the Service Agreement, law, or VMium policy resulting in loss to VMium or the bringing of any claim against VMium by any third party.
